TERMS AND CONDITIONS OF SALE

These Terms and Conditions of Sale (“Terms of Sale”) govern sales of products made through the THYLY online store to consumers acting for non-professional purposes.

1. Seller identity

2. Products

The essential characteristics of each product are presented on its product page before the order is placed.

THYLY makes reasonable efforts to present descriptions, dimensions, capacities, compatibility information, photographs and other characteristics as accurately as possible.

Slight differences in colour or display may result from the screen or device used by the customer, without prejudice to the customer's statutory rights.

3. Prices

The applicable prices are those displayed on the store at the time the order is placed.

Any delivery charges and other applicable fees are shown to the customer before final confirmation and payment of the order.

THYLY benefits from the French VAT exemption scheme: VAT not applicable under Article 293 B of the French General Tax Code.

4. Orders

Before confirming an order, the customer can check the selected products, quantities, contact details, delivery address and the total amount payable.

Confirming the order creates an obligation to pay.

An order confirmation is sent to the customer electronically.

THYLY may refuse or cancel an order, in particular where payment cannot be processed, a product is unavailable, there is a reasonable suspicion of fraud, or there is an obvious error concerning essential information in the offer, while respecting consumer rights.

5. Payment

Payment is due when the order is placed.

The customer may use the payment methods actually offered at checkout.

Transactions are processed by the payment service providers offered on the store.

6. Processing and delivery

Orders are generally prepared within 24 to 48 business hours.

After dispatch, the expected delivery time is generally 5 to 10 business days, depending on the destination and carrier.

When tracking is available, a tracking number or link is provided to the customer after dispatch.

THYLY remains responsible for proper performance of delivery under the conditions laid down by applicable law.

The risk of loss or damage to the product passes to the consumer when the consumer takes physical possession of the goods or when a third party designated by the consumer, other than the carrier, takes possession of them.

Where the consumer independently chooses a carrier other than those offered by THYLY, the specific statutory rules on transfer of risk apply.

7. Delay or delivery issue

In the event of a significant delay, a parcel marked as delivered but not received, or a parcel received damaged, the customer is invited to contact THYLY at contact@thyly.fr, quoting the order number.

THYLY will carry out the necessary checks and implement the solutions provided for by applicable regulations.

8. Statutory right of withdrawal

For eligible distance purchases, consumers have 14 days from receipt of the goods to inform THYLY of their decision to withdraw, without having to give a reason.

The consumer may exercise this right using the withdrawal functionality available on the store, the model withdrawal form provided for this purpose, or any unambiguous statement expressing the wish to withdraw.

When a withdrawal is submitted online, an acknowledgement of receipt is provided to the consumer on a durable medium in accordance with applicable provisions.

9. Return following withdrawal

After informing THYLY of the decision to withdraw, the customer receives the necessary instructions and the return address corresponding to the order.

No parcel should be returned without prior instructions from THYLY.

Unless the law requires the seller to bear the cost, or THYLY expressly states that it will do so, the direct costs of returning goods under the right of withdrawal are borne by the consumer.

10. Refund

Where the statutory conditions for withdrawal are met, THYLY refunds the amounts legally due, including the original standard delivery charges where required by law.

The refund is made within the statutory time limits and, unless otherwise agreed, using the same payment method as the one used for the order.

THYLY may defer the refund until the goods have been recovered or until proof of dispatch of the product has been received where the law permits.

11. Commercial return period up to 30 days

In addition to the statutory right of withdrawal, THYLY offers a commercial return option up to 30 days after receipt, subject to the conditions set out in its Return and Refund Policy.

This additional option neither reduces nor replaces the consumer's statutory rights.

12. Defective, damaged or non-conforming product

If a product is defective, damaged or does not match the order, the customer should contact THYLY at contact@thyly.fr, preferably quoting the order number and providing information that makes it possible to identify the problem.

Statutory guarantees remain fully applicable.

13. Statutory guarantees

The consumer benefits from the statutory guarantee of conformity and the statutory guarantee against hidden defects, in accordance with applicable legal provisions.

BOX – STATUTORY GUARANTEES

The consumer has a period of two years from delivery of the goods to obtain implementation of the statutory guarantee of conformity where a lack of conformity appears. During this period, the consumer is only required to establish the existence of the lack of conformity and not the date on which it appeared.

Where the contract for the sale of goods provides for the continuous supply of digital content or a digital service for a period longer than two years, the statutory guarantee applies to that digital content or digital service throughout the scheduled supply period. During that period, the consumer is only required to establish the existence of the lack of conformity affecting the digital content or digital service and not the date on which it appeared.

The statutory guarantee of conformity requires the professional, where applicable, to provide all updates necessary to maintain the conformity of the goods.

The statutory guarantee of conformity entitles the consumer to repair or replacement of the goods within thirty days of the request, free of charge and without major inconvenience to the consumer.

If the goods are repaired under the statutory guarantee of conformity, the consumer benefits from a six-month extension of the original guarantee.

If the consumer requests repair of the goods but the seller requires replacement, the statutory guarantee of conformity is renewed for a period of two years from the date on which the replacement goods are delivered.

The consumer may obtain a reduction in the purchase price while keeping the goods, or terminate the contract and receive a full refund in exchange for returning the goods, where:

1° The professional refuses to repair or replace the goods;

2° Repair or replacement takes place more than thirty days after the request;

3° Repair or replacement causes major inconvenience to the consumer, in particular where the consumer permanently bears the cost of taking back or removing the non-conforming goods, or bears the cost of installing the repaired or replacement goods;

4° The lack of conformity persists despite an unsuccessful attempt by the seller to bring the goods into conformity.

The consumer is also entitled to a reduction in the price or termination of the contract where the lack of conformity is sufficiently serious to justify an immediate price reduction or termination. In such a case, the consumer is not required first to request repair or replacement.

The consumer is not entitled to terminate the sale where the lack of conformity is minor.

Any period during which the goods are unavailable for repair or replacement suspends the remaining guarantee period until the repaired goods are returned.

The rights referred to above result from the application of Articles L. 217-1 to L. 217-32 of the French Consumer Code.

A seller who, in bad faith, obstructs implementation of the statutory guarantee of conformity may incur a civil fine of up to EUR 300,000, which may be increased to 10% of average annual turnover (Article L. 241-5 of the French Consumer Code).

The consumer also benefits from the statutory guarantee against hidden defects under Articles 1641 to 1649 of the French Civil Code, for a period of two years from discovery of the defect. This guarantee entitles the consumer to a price reduction if the goods are kept or a full refund in exchange for returning the goods.

14. Liability

Nothing in these Terms of Sale may exclude or limit any right or guarantee that the law mandatorily grants to the consumer.

THYLY cannot be held liable for damage resulting from use of a product contrary to its intended purpose or applicable instructions, subject to liabilities that cannot legally be excluded.

15. Personal data

The collection and processing of personal data are detailed in the Privacy Policy available on the store.

16. Complaints and consumer mediation

In the event of a difficulty, the customer is invited to contact THYLY first at contact@thyly.fr in order to seek an amicable solution.

If a prior written complaint has not resolved the dispute, the consumer may refer the matter free of charge to the consumer mediator to which THYLY subscribes.

17. Governing law

These Terms of Sale are governed by French law.

For a consumer residing in another Member State of the European Union, this choice does not deprive the consumer of any more protective mandatory provisions to which the consumer is entitled under the law applicable in the country of residence.
